Q&A

I got this contract from Loomwell, I need you to look at it and let me know what you think, and how I should respond: Loomwell Artist Licensing Agreement Client (Licensee): Loomwell Contact: collabs@loomwell.com Address: 513 N SR198, Suite B, Salem, Utah 84653 Artist (Licensor): ________________________________ Effective Date: ________________________________ Name Displayed on Loomwell Website: ________________________________ Social Media Handle: _________________________________ 1. Overview This agreement outlines the terms between Loomwell (“Client” or “Licensee”) and the Artist (“Licensor”) for licensing original artwork to be used on Loomwell products. The goal is to build a lasting partnership where both parties benefit — Loomwell gets beautiful, exclusive designs, and the Artist is compensated fairly for their creativity. 2. Deliverables The Artist will provide Loomwell with the following: • Agreed-upon number of seamless, print-ready pattern files created entirely by the Artist using their own original design elements. • Files delivered in formats requested by Loomwell (ex: TIFF, PSD, or AI). 3. Payment Terms The Artist will receive a 7% commission on all net sales of products featuring their designs (net sales = total sales minus taxes, discounts, and returns). Payments will be made according to Loomwell’s regular royalty payout schedule. Commission payments continue as long as the artwork remains for sale by Loomwell, even if no new designs are submitted. 4. Ownership & License Rights The Artist retains ownership of the original artwork and all underlying copyrights. The Artist grants Loomwell an exclusive, perpetual, worldwide license to reproduce, manufacture, distribute, promote, and sell products featuring the artwork in the wallpaper category, including peel-and-stick wallpaper, traditional wallpaper, and wall murals. This includes permission for Loomwell to make reasonable edits (color adjustments, scaling, or cropping), use the artwork in marketing, and continue using it indefinitely. Term of Agreement This agreement shall remain in effect indefinitely unless and until the Artist provides written notice requesting to withdraw their artwork under Section 6A (“Artist Withdrawal Option”). As long as the artwork remains available for sale by Loomwell, all terms of this agreement — including Loomwell’s exclusive wallpaper rights and the Artist’s 7% commission payments — shall remain active and in full effect without the need for renewal. 5. Artist Warranties & Representations The Artist represents and warrants that all artwork is original, created solely by the Artist, and does not infringe upon any third-party rights. The artwork is not copied, derived, or AI-generated. The Artist will indemnify and hold Loomwell harmless from any claims or damages arising from a breach of this warranty. 6. Exclusivity The Artist grants Loomwell exclusive rights to use the artwork within the wallpaper category worldwide. The Artist may still license the same artwork for other product categories (e.g., textiles, stationery, apparel) as long as it does not include wallpaper or wall coverings. 6A. Artist Withdrawal Option The Artist may request in writing at any time to remove their artwork from Loomwell’s catalog and end participation in this agreement. Once such a request is received and Loomwell confirms removal of the artwork from sale, this contract shall be considered terminated for that artwork. Loomwell will process any remaining commissions earned up to the removal date, and no further royalties will accrue after the artwork is taken down. 6B. Similar or Derivative Works The Artist agrees not to create, license, or sell any artwork that is substantially similar to, derived from, or based on the designs provided to Loomwell for use in the wallpaper or wall-covering industry during the term of this agreement. This includes (but is not limited to) patterns that reuse or closely resemble the same motifs, elements, compositions, or color schemes in a way that could be seen as a competing or derivative wallpaper design. The Artist is free to use their original elements or create similar designs for other industries or product categories, as long as those designs are not used for wallpaper or wall-covering products. 7. Revisions & Customization The Artist agrees to make necessary corrections if the file is not seamless or does not meet resolution requirements. Loomwell may make color or design edits for customer requests. Loomwell reserves the right to remove designs from sale at any time; the Artist’s commission will include all sales made prior to removal. 8. Confidentiality Both parties agree to keep all non-public project details, customer information, and proprietary data confidential during and after this agreement. 9. Independent Contractor The Artist is an independent contractor and not an employee, agent, or representative of Loomwell. The Artist is responsible for their own taxes and business operations. 10. Force Majeure Neither party shall be liable for delays or failures to perform due to events beyond reasonable control, such as natural disasters, government actions, or power outages. 11. Entire Agreement This agreement represents the full understanding between Loomwell and the Artist. Any changes must be made in writing and signed by both parties.
