Mark Kohler explains why keeping your LLC active matters for asset protection. A non-compliant entity is like a door with missing hinges: it looks fine until pressure hits and collapses. Each state has different rules on annual filings, fees, and franchise taxes, and missing them triggers administrative dissolution that strips away your legal protection.

Good standing with the state is asset protection. What I mean by that is if the LLC or corporation doesn't stay in good standing or properly registered with the state, it's like a locked door and the hinges got removed. It looks like protection from a distance, but when the pressure hits, it's going to fall right over. And to make it more complicated, every state has its own rules. When those annual filings have to be filed, can it be done online? What is the fee? Is there a fee? Are there franchise taxes? Is there a specific date every year, or is it on the annual renewal of when you formed the company? Do you have to update the ownership or address information? And if you miss those filings, the state may automatically suspend the entity. It's called administratively dissolved. Good standing keeps your structure ready for when you need it.
