In this dialogue, two professionals discuss how their firms assist clients involved in syndications and fundraising across real estate, technology, biotech, and other sectors. They outline a full‑service approach that starts with brainstorming and entity formation, continues through tax advisory, planning, and compliance, and ends with filing personal tax returns for both general partners and limited partners. The conversation emphasizes the importance of aligning entity structures with long‑range goals—whether staying private, scaling, or preparing for an IPO—to avoid costly mid‑stream restructurings. They review a variety of contemporary offering structures, including Delaware statutory trusts, Regulation Crowdfunding, Regulation A+, and REIT conversions, and note the addition of an international tax attorney to handle cross‑border issues such as FIRPTA. Finally, they describe the use of blocker entities within fund or syndication structures to mitigate international tax exposure, positioning their firm as an end‑to‑end partner for tax, legal, and strategic needs.

syndications and raising money is one way that small businesses can survive or new ideas or new projects can be brought to life. So we see them in real estate, but we see them in all kinds of exciting things like technology and biotech. And we serve these exact type of clients, whether they're an investor, whether they're the general partner or the syndicator. Doesn't— does not matter what level of the structure chart they're at. We can serve them from the tax advisory, the tax planning, the business structure planning, whether that's hand in hand with the entity's attorney, somebody such as yourself, or whether that's them just brainstorming before even creating the blueprint. We help with the initial structure all the way to the tax returns, the personal tax returns of the limited partners or the general partner.
That's fantastic. Yes. And we do have both a real estate division and a business division. We have a business attorney that specifically as those other types of offerings. And structuring is always an issue because it depends on long-range goals for that, that kind of a business. Are they going to stay small? Are they going to stay privately owned? Or are, do they have plans to go public at some point in the future? And how we structure it now and set that up sets them up for future funding rounds and being able to execute those long-range plans without having to go back and kind of restructure midpoint, which can be awkward. And sometimes it kills a deal. Because you've got somebody in from the beginning and that's just not going to get out and they might not let you go forward the way you want to. So we want to make sure that we're always protecting against that. And of course, we're always giving the best tax savings possible to all of the participants. I love that you guys do that and can support our clients that do those things. We do also have a lot of real estate clients that are always looking for, we've been getting a lot of different structures lately. We have people who are doing Delaware statutory trusts. We're doing Regulation Crowdfunding offerings. We have people that are doing Regulation A+ offerings. They want to turn into a REIT. We did hire an international tax attorney so that we can now support cross-border structuring. And I understand that's also something that your firm can support, right? Is the international dealing with FIRPTA and all those things that, that relate to the international investors?
Absolutely. And to tie into what you were saying about the initial structuring, we can also help with brainstorming out the blocker entities that can be put in place in a fund structure, in a syndication structure to prevent or to reduce any kind of international tax exposure.
That's fantastic. Yeah. And just so the audience knows, we are going to do next month an interview with our new tax attorney. So we're going to be talking to her about those specific things with between her and George and the services he offers. That's going to be a really nice fit.
