Syndicators often come to the firm years into non-compliant offerings, with a single current problem masking issues across three or four prior deals. Regulators examine the entire pattern of past offerings, not just the immediate one, looking for missing Form D filings, incomplete investor documentation, and offering documents that don't match actual distributions.

By the time most syndicators call us with a problem, they're usually calling about 5 years of problems. Say you've done 3 or 4 deals over 3 or 4 years under a structure that was never quite compliant. That's not one issue to fix. That's 3 Form D filings that may need review, 3 sets of investor files that may be thin on documentation, 3 sets of marketing materials that are permanently discoverable. 3 sets of offering documents that may not match how distributions actually went. Any one of those deals underperforming later could bring all 3 into scope. A thorough regulator doesn't just review the deal and the current problem. They'll look at the pattern. They ask for books and records for all of your prior offerings. That's the part that surprises people. They think they're calling about one deal. They may not know it, but they could actually be calling about all of the offerings they've done. The practical answer to, do I need to hire now, for multiple situations is in the long form.
