Silver Mountain Ranches DST

Gonna whiteboard the SMR project. Silver Mountain Ranch meets with the lab and put together by Independent Concepts looking to raise ten million dollars. So we'll set up a ten year DST and we'll take five hundred thousand dollar subscriptions to the, to the ten million dollar fund which are 1031. They can do a 1031 into the, into the foot. We'll have a little breakdown here. The goal is to turn this 10 million into a $100 million. And the idea is that we will create 20 shares at 500,000 a piece and they will be available for 10 years and they will get a 7030 breakdown. So basically $70 million will be split among the 20 sheer members. The $10 million is going to be spent to build an intentional living community in the Bradshaw Mountain Ranches. We will be building 40 luxury off grid retreat style homes that provide direct access to prime hunting lands. There will be a premier hunting lodge and world renowned guide service on the property. There will be world class vineyards and tasting rooms built there. Holistic therapy retreat for the wellness center that's associated with the lab. Self sustained living education. Something that is a combination of education and, and presentation. So actually putting the stuff together. The Bradshaw Mountain History Society can actually go out there and also install a bit of history and create some, create some synergy around grant. Grant allocation. Up to a million dollars a year. Some of the other sources of income will be that There will be four houses that are built out of the 40 for rental and one of the houses will be a resort house or the guide house for the hunting lodge. The $10 million will build all of those homes and 60% of the infrastructure. Once we get that accomplished and start selling homes which is a source of the income, we will be selling 35 home sites, lots and houses and the dividend from that for our investors will be 600,000. The income from the event center annually should be about 75,000 net and rentals will be probably close to 120,000 net. To operate the fund we're going to have a fee man schedule a 5% fee annually for managing the fund. And then we will take a 30 on the waterfall and then that from that 30 it will be split. SMR gets 10%. The lab is 10% and Independent Concepts is entitled to 10%. So I feel like this is a pretty strong offering and we can structure this up. The offering is extended to 20 people like I said and what it will bring aside from the investment portion is some benefits of access to the rentals. The four rentals that we have out there at cost. First position available on lots. We have 20 lots that are discounted for shareholders and then there will be lifetime lodge access for hosting events or meetings. The lodge will only be available for these 20 members. At that level there is an 18% preferred return and shares can be used after after five years. If somebody wanted to exchange their shares for construction costs, they could actually go and purchase a property, take their advantage of the first position on lots of and then use their shares to pay for the construction. And so that's available to them after the first five years because of the 10 year holding period, et cetera. So again, this is available for 1031 exchange and it is an opportunity to be able to raise the money necessary for infrastructure, create the income and then the windfall on the waterfall.
