There are several considerations when deciding where to register your LLC. Register LLC in Wyoming?

Wyoming and Delaware offer low fees and tax benefits, but registering out of state doesn't exempt you from home-state income tax and requires expensive foreign-qualification fees in both states. For most small businesses, registering where you live is cheaper and simpler.

This is why you hear so much about registering an LLC in Wyoming or Delaware, but I'm also going to explain why you probably shouldn't do that. So Wyoming is pretty popular because it's only $100 to register there. They provide you with confirmation that the LLC was approved instantly. The annual fee is $50 per year, and they have no state income tax. Delaware, on the other hand, is very popular because it has a business-focused court system that is very experienced with handling business disputes. So oftentimes very large businesses will choose to register in Delaware because of the advanced business court system. Investors also prefer to invest in LLCs and corporations that are registered in Delaware. But here's why you should think twice before registering in Delaware or Wyoming unless you actually live in one of those states. First of all, just because you register your LLC or corporation in Wyoming does not mean that you get to avoid paying income tax. So for example, if you live in California and you register your LLC in Wyoming, then you're still gonna have to pay California the state income tax. And the second reason why you might want to think twice before registering in Delaware or Wyoming is because if you register in a state that you don't live in, then you're still gonna have to tell your home state that you have an out-of-state LLC, and this process is called foreign qualification. The foreign qualification process is pretty expensive, and ultimately it requires that you pay annual fees in the state that the LLC is registered in and your home state. So in most situations for a small business, it's usually just best to register in the state that you live in so that you can save some money and avoid the foreign qualification process. However, it is true that in some situations the business owner will not care about the added expenses and they will still want Delaware so that they can take advantage of the business-focused court system.
