An LLC only protects you from personal liability after it's officially registered. If you sign contracts or incur debts before registration, you're personally liable even after you form the LLC later. Register first, then do business.

Here's why you should not wait to file your LLC after you've started your business. So first, the point of an LLC is to provide you with personal liability protections for the debts and liabilities of the business, and this protection obviously only applies once you have the LLC registered. Therefore, if you engage in business before the LLC is registered, then any of those actions that you take will not be protected by the LLC. So that means any actions that you take prior to the LLC being registered will fall on you personally which includes debts and liabilities and lawsuits that you may face when conducting business. So if you enter into a contract with someone for $20,000 as a sole proprietor before the LLC is registered, and then you register the LLC, and the recipient to that contract wants to sue you for not paying the debt, you will still have to pay it personally, and it will not be protected by the LLC.
