M&A advisors paid on retainer have no incentive to close deals. Instead, negotiate a success-fee kicker that pays them only when the transaction closes. Any advisor who refuses contingency terms probably isn't worth hiring.

still to this day would never do that. It makes no sense. I would definitely recommend M&A advisors. However, you better— you got to hardball a deal because they're all going to come to you and say that they want a retainer, right? You're essentially paying them to not do the work. And I know that every M&A advisor right now is going to be like, that's not true. What are you talking about? We want to sell the company. So you didn't pay a retainer? We didn't pay a retainer. I will happily pay you a bigger kicker at the end, but I'm not paying you a retainer. I'm literally incentivizing you to take your time, right? It makes no sense. Interesting point. And I still to this moment don't know why an M&A advisory firm would say no unless they suck.
