Under SEC Rule 506, you need a real relationship with investors before pitching them. That means documented conversations about their finances and experience, not LinkedIn messages or business cards. Public posts don't count because they reach people you don't actually know.
Chapters
Before you post anything about your deal on LinkedIn, one question. For a 506 offering, your investors need to have a preexisting substantive relationship with you before that offering began. Preexisting means the relationship was established before this specific offering, not after you already started raising capital. Substantive means you had a real conversation about their investment experience and financial situation, not a LinkedIn connection request, not a business card exchange, A documented conversation before the offering. Did you discuss their investment experience? Did you discuss whether this type of deal was a good fit for them? Think about your LinkedIn network. How many of your connections have you actually had that conversation with? Most syndicators I talk to, the number is either just a few or none. And when someone comments on your post, their network sees it too. Their connections, people you've never spoken to. That's why LinkedIn isn't your investor database. It's a public channel, and public channels and 506 don't mix. Full breakdown in the long-form video, link in the bio.
