Independent Contractor Agreement - Marienelle Festin
This Independent Contractor Agreement, effective December 7, 2023, establishes a contractual relationship between Marenelle Festin (the Independent Contractor) and Rockstar Recruiter, LLC (the Company). The agreement defines the contractor’s status as an independent entity responsible for all taxes, supplies, licensing, and personnel costs, and outlines duties referenced in Exhibit A. The term is one year, automatically renewing unless either party provides 15‑day notice prior to renewal. Termination can occur upon death, disability, or for specified causes such as felony conviction, material breach, fraud, or illegal substance use. Compensation is $7.00 per hour, paid bi‑weekly. The contractor must protect the Company’s confidential and trade‑secret information, return all materials upon termination, and refrain from using the information for personal benefit. Restrictive covenants prohibit solicitation of the Company’s customers, prospective customers, referral sources, employees, and other contractors, and forbid circumvention of the Company’s business relationships for a period covering the engagement and twelve months thereafter (the “Time Limit”). Violations trigger injunctive relief and monetary damages. Intellectual property created during the engagement is assigned to the Company. Disputes (except for confidentiality matters) are resolved by binding arbitration under the American Arbitration Association rules, with hearings in Phoenix, Arizona, and a final, enforceable award. The agreement is governed by Arizona law, includes standard miscellaneous provisions (assignment, severability, entire agreement, etc.), and requires signatures from both parties.
