Bridger Pennington explains fund registration requirements: state-level registration for assets under $150M, SEC registration above that threshold, and Exempt Reporting Advisor status for roughly $25M to $150M. His two funds currently qualify as ERAs but may need SEC registration and a Series 65 license as they grow.

do I register with for funds? If you're under $150 million, you fall under the state level. If you're over $150 million, you fall under the federal SEC level. You're not in both, you're in one or the other, and this is AUM. I'm guessing you're going to be under $150. Yeah. And you're in Utah. Yeah. So you'd fall under Utah State Division of Securities, okay, that's where you would fall under. Now, they have also given us something cool called the exempt reporting advisor. You can be an ERA, you're between $25 million and $150 million. And you're under the SEC but you don't need like a license. You don't need a Series 65 and everything's a little different but as far as the licensing goes for this registration, you do not need a license. So, my 2 funds that I currently run are both exempt reporting advisors because we fall under this category. We're probably going to get over this in the next year. I'll go get my Series 65 which is a license but currently, we fall under an ERA exemption.
